At Xencor integrity is core to our success as a company. We expect all of us at Xencor to exhibit the highest integrity and honesty and to comply with our Code of Conduct and Ethics and all laws, rules and regulations pertaining to our business. We provide this HOTLINE so that you may provide an anonymous and confidential report of any unethical, illegal or other behavior that is in violation of our Code of Conduct or policies, including accounting or other financial fraud.

If you observe or suspect you may have observed improper conduct and are uncomfortable reporting it directly, please utilize this HOTLINE to make a report so that the high standards of Xencor remain intact. In fact, it is your responsibility as a Xencor employee to make such a report. Behaviors that violates our standards not only demoralize employees and undermine our culture, but can lead to substantial fines and penalties that can negatively impact our potential to develop and commercialize life changing medicines.

Your anonymous report will go directly to the Chair of our Audit Committee and to our General Counsel. All reports will be thoroughly investigated and appropriate action will taken in the event wrongdoing is substantiated. No employee may be retaliated against for making a good faith report of suspected or actual violations of law or our Code of Conduct and Ethics.

The Chair of the Audit Committee and the General Counsel will have immediate access to the report. They will determine who else should appropriately have access to the information. If you leave your name, your name will be treated as confidential to the extent reasonably possible, subject to the need to conduct an investigation and comply with our Code of Conduct and Ethics.
Employees are protected by law from retaliation and/or discharge by their company for making good faith reports of improper conduct or suspected improper conduct. If you suspect you are being subjected to retaliation for reporting such conduct, immediately report it to Human Resources or the General Counsel or make a report via this HOTLINE.
You can leave a message or file a report anytime, 24 hours a day, 7 days a week.
The HOTLINE accepts messages in three ways: email, voicemail, and web interface. You only need to leave one message as all three methods deliver your message directly and immediately.
If you do not leave your name, the report is anonymous. If you leave your name, your name will be treated as confidential to the extent reasonably possible, subject to the need to conduct an investigation and comply with our Code of Conduct and Ethics. Reports that include terroristic threats or threat to commit bodily injury or harm that are submitted to the HOTLINE shall not be treated as anonymous or confidential to the extent reasonably necessary to prevent or investigate such conduct and may be reported to any appropriate law enforcement agencies.
